1 Acceptance of Terms
By accessing or using the Cosmic Trading platform ("CosmicTRD"), available at cosmictrd.io and its associated subdomains, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our platform.
These Terms constitute a legally binding agreement between you ("Customer", "you") and Cosmic Trading ("Company", "we", "us"), a trading and sourcing business operating between China and Bangladesh.
2 Services Description
Cosmic Trading provides the following services through our platform:
- Product Sourcing: We source products from manufacturers and suppliers in China on your behalf based on your submitted queries.
- Order Fulfillment: We manage the procurement, quality control (QC), and international shipping of products from China to Bangladesh and other destinations.
- Dropshipping Services: We offer dropshipping fulfillment through our integrated Shopify platform at dropship.cosmictrd.com.
- China Wholesale (DIY Sourcing): Self-service product sourcing through chinawholesale.com.bd.
- Business Formation Services: Company registration assistance through formation.cosmictrd.com.
- Financial Services: Trade financing, loyalty points systems, and multi-currency payment processing.
We act as an intermediary between you and Chinese suppliers. We do not manufacture any products and are not responsible for manufacturing defects unless identified during our QC process.
3 User Accounts
3.1 Account Creation
To use our services, you must create an account through our authentication provider (Clerk). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.2 Account Accuracy
You agree to provide accurate, current, and complete information during registration and to update such information as necessary. We reserve the right to suspend or terminate accounts with inaccurate information.
3.3 Account Security
You must immediately notify us of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your account.
4 Orders & Payments
4.1 Query Submission
Submitting a sourcing query requires query credits. Query credits are non-refundable once used. Submitting a query does not guarantee product availability, pricing, or fulfillment.
4.2 Quotation & Pricing
All prices quoted are estimates and may vary based on supplier availability, exchange rates, and shipping conditions. Final pricing is confirmed at the time of order placement. Prices are displayed in your selected currency but the base currency for all transactions is Chinese Yuan (CNY).
4.3 Payment Methods
We accept the following payment methods:
- Loyalty Points (earned balance for eligible services)
- Manual Bank Transfer (local Bangladeshi banks)
- bKash / Nagad via EPS Payment Gateway
All payments are processed in Bangladeshi Taka (BDT) unless otherwise specified. Payment processing fees (e.g., EPS gateway fee of 2.1%) are borne by the customer unless stated otherwise.
4.4 Payment Confirmation
Orders are processed only after full payment confirmation. Manual bank transfers require admin verification before processing begins. We reserve the right to cancel unconfirmed orders after a reasonable waiting period.
5 Shipping & Delivery
5.1 Shipping Methods
We offer multiple shipping options from China to Bangladesh including air freight, sea freight, and express delivery. Shipping rates are calculated based on weight, volume, and destination.
5.2 Delivery Timeline
Estimated delivery times are provided as guidelines and are not guaranteed. Delays may occur due to customs clearance, weather conditions, carrier issues, or other circumstances beyond our control.
5.3 Shipping Consent
Before international shipment, you will be presented with shipping rate consent. By accepting the shipping rates, you authorize us to proceed with the shipment at the quoted price.
5.4 Customs & Duties
Any customs duties, import taxes, or additional charges imposed by Bangladesh Customs or any destination country are the sole responsibility of the customer unless explicitly included in the quoted shipping price.
5.5 Risk of Loss
Risk of loss transfers to you upon delivery to the designated delivery address or collection point in Bangladesh.
6 Refunds & Cancellations
6.1 Order Cancellation
Orders may be cancelled before the supplier has shipped the products to our China warehouse. Once products have been shipped to our warehouse, cancellation is subject to supplier return policies and restocking fees.
6.2 Refund Process
Approved refunds are processed to your original payment method or points balance within 7-14 business days. Refund requests must be submitted through the platform's refund request system with supporting documentation.
6.3 Non-Refundable Items
The following are non-refundable:
- Used query credits
- Shipping charges for delivered orders
- Custom-manufactured or personalized products
- Products that have passed QC inspection and been approved by the customer
6.4 Quality Disputes
If products fail our QC inspection, we will notify you with photos and details. You may request a refund, replacement, or proceed with the order at your discretion.
7 Points & Credits
7.1 Loyalty Points
Your points balance represents loyalty points earned through eligible activities on the platform. Points may be applied toward supported services (such as loan repayment auto-deduction) as described at the time of each applicable feature. Points are displayed in your preferred currency but maintained in the platform base currency. Points are non-transferable between accounts and have no monetary cash value.
7.2 Query Credits
Query credits are required to submit sourcing queries. Credits can be purchased through the platform or granted by administrators. Credits have no monetary value and cannot be converted to cash.
7.3 Points Adjustments
Points balances may be adjusted by administrators to correct errors, apply promotional credits, or enforce platform policies. All adjustments are logged in your transaction history.
8 Intellectual Property
All content on the Cosmic Trading platform, including but not limited to logos, designs, text, graphics, software, and the overall user interface, is the property of Cosmic Trading and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any content on our platform without our prior written consent.
9 Prohibited Activities
You agree not to:
- Use the platform for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or other user accounts
- Submit false or misleading information in queries or orders
- Use the platform to source or ship prohibited, controlled, or illegal items
- Reverse engineer, decompile, or attempt to extract the source code of our platform
- Automate access to our platform (bots, scrapers) without written permission
- Circumvent or manipulate the platform's pricing, fees, or credit systems
- Engage in fraudulent payment activities or chargebacks
Violation of these prohibitions may result in immediate account termination without refund.
10 Limitation of Liability
To the maximum extent permitted by applicable law:
- Cosmic Trading shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
- Our total liability for any claim shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We are not liable for damages caused by third-party suppliers, shipping carriers, customs authorities, or payment processors.
- We do not guarantee uninterrupted or error-free operation of the platform.
11 Dispute Resolution
11.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh.
11.2 Resolution Process
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails, disputes shall be resolved through mediation or arbitration in Dhaka, Bangladesh.
11.3 Time Limitation
Any claim arising from or related to these Terms must be filed within one (1) year of the event giving rise to the claim.
12 Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated through the platform via notifications or email. Your continued use of the platform after changes are posted constitutes acceptance of the revised Terms.
